BlackRock Files for Bitcoin ETF

BlackRock has filed with US regulators for a new Bitcoin-linked exchange-traded fund designed to soften market losses while preserving some upside potential. The proposed product reflects a growing effort to make Bitcoin accessible to investors who want exposure to the cryptocurrency but are reluctant to accept its full volatility.

The world’s largest asset manager submitted a registration filing for the iShares Bitcoin Managed Protection ETF, which is expected to trade under the ticker PBIT, on October 19. Unlike conventional spot Bitcoin ETFs, the proposed fund would use options linked to BlackRock’s iShares Bitcoin Trust (IBIT) to create a defined risk-and-return profile.

According to The Block, the filing describes a strategy intended to provide upside exposure to IBIT up to an approximate limit while seeking a level of downside protection. The fund has not yet been approved for trading, and important details, including its management fee, remain undisclosed.

Rather than purchasing Bitcoin directly, PBIT is designed to hold options linked to IBIT alongside cash, money-market instruments and short-term fixed-income assets. This structure allows the fund to pursue a different payoff profile from a conventional spot Bitcoin ETF.

The strategy uses options to establish defined levels of potential gains and losses over specified investment periods. In simplified terms, the fund seeks to cushion losses below a predetermined threshold while limiting gains once Bitcoin exposure exceeds a specified level.

The trade-off is fundamental: investors would sacrifice some upside potential in exchange for a measure of downside protection.

For example, a hypothetical investment structure might seek to absorb the first 10% of losses over a defined period while capping gains at a predetermined level. The exact outcome depends on the options in place, their expiration dates, market prices and the fund’s fees. The example is illustrative, not a statement of PBIT’s final terms.

Crucially, the proposed protection is not a guarantee against losses. Investors buying the fund after an outcome period has begun may face a different risk profile from those who entered at its start. The protection level and upside cap can also change as options expire and new positions are established.

BlackRock’s filing builds on the success of IBIT, its spot Bitcoin ETF, which has attracted tens of billions of dollars in assets since launching in January 2024. The company also introduced the iShares Bitcoin Premium Income ETF, which uses options to generate income from Bitcoin-linked exposure.

These products illustrate how the market for regulated crypto investments is evolving. The first wave of Bitcoin ETFs primarily focused on providing straightforward price exposure through familiar brokerage accounts. Newer strategies seek to address specific investor needs, including income generation, volatility management and downside risk control.

PBIT would extend that trend by targeting investors who remain interested in Bitcoin but find the prospect of severe drawdowns difficult to accept.

The strategy also draws on a well-established concept in traditional finance. Buffer ETFs and structured investment products use options to offer partial protection against market declines, typically in exchange for capped returns or other constraints. Applying similar techniques to Bitcoin could broaden the range of risk profiles available through regulated investment vehicles.

Investors should not confuse a managed-protection strategy with capital preservation. If Bitcoin falls sharply, losses can still occur, particularly when the decline exceeds the protection built into the relevant options structure. Fees and trading costs can further reduce returns.

The strategy also introduces complexity that investors do not encounter when simply buying and holding a spot Bitcoin ETF. Performance depends not only on Bitcoin’s price but also on option pricing, volatility, expiration dates and the timing of an investor’s purchase.

That means PBIT may underperform a conventional Bitcoin ETF during a strong rally, especially if Bitcoin’s gains exceed the fund’s cap. In a prolonged downturn, protection may reduce losses over a defined period, but it does not remove the underlying market risk.

The prospectus leaves key commercial terms unresolved, so investors cannot yet assess the final cost or precise return limits.

BlackRock’s proposal signals that Bitcoin investment products are moving beyond the simple question of whether prices will rise or fall. Asset managers are increasingly exploring ways to tailor crypto exposure to investors with different risk tolerances.

The filing is not evidence that a new fund has already attracted capital or received regulatory approval. Its significance lies in the product design: a major asset manager is seeking to package Bitcoin exposure with an options-based risk-management framework familiar to traditional investors.

If approved and launched, PBIT could appeal to investors who want some participation in Bitcoin’s potential gains without accepting all of its downside risk. Whether demand materializes will depend on the final protection terms, fees and the amount of upside investors must surrender.

For now, the proposal offers a clear signal of where the institutional crypto market may be heading: more sophisticated investment products designed not just to deliver Bitcoin exposure, but to reshape how investors experience its volatility.
